Business Litigation

We handle all types of high-stakes commercial litigation, including cases where tens or hundreds of millions of dollars are at stake.  We represent both plaintiffs and defendants, as well as both companies and individuals.  Virtually any sophisticated business dispute is within our scope of practice, such as:

  • Enforcement of contract terms, including earnout clauses, option agreements, exclusive rights clauses, non-competes, and indemnification agreements.

  • Fraud, racketeering, breach of fiduciary duty, and tortious interference with contract claims.

  • Trade libel, product disparagement, unfair competition, trade secrets misappropriation and intellectual property infringement claims.

Class actions brought by either consumers or businesses.

GAW | POE LLP’s Successes at Business Litigation Include:

$75M Cash Refund

Paid by Google to its DoubleClick Bid Manager advertiser clients after our client brought a class action against it alleging that it breached its various advertising contracts by failing to issue refunds to advertisers for invalid ad traffic.  The case was also certified as a class action and later settled for an additional payment of $7 million by Google to AdWords advertisers.  (AdTrader v. Google)

On breach of contract claims brought by our client, an entrepreneur, against the publicly traded company that had acquired his business assets and then failed to properly deploy them in order to deprive him of additional earnout compensation. This arbitration award was subsequently confirmed by a federal court. (Barranco v. 3D Systems)

$11.3M Arbitration Award

$10M Arbitration Award

On breach of contract claims brought by our client, a founder of a successful startup, against his former company for wrongfully re-purchasing his stock and also for refusing to indemnify him in connection with a related third-party lawsuit. The case settled prior to confirmation of the award. (Confidential)
